Introduction

I am looking to broaden my existing director responsibilities by further Board appointments. I bring to a Board my expertise in financial reporting and corporate governance, as well as strategic thinking skills, profile and independence. Such a Board appointment is a natural extension to my financial reporting, risk management experience, and other skills. I would be ideally suited to the Audit Committee, and would be considered an independent director.  I am a member of the Australian Accounting Standards Board, and an independent Audit Committee member.

I am an acknowledged financial reporting expert with technical experience gained over 20 years in standard-setting as a leader, with a listed company, major accounting firms, and since 2003 in my own consulting practice. I have implemented accounting standards, provided opinions, conducted training, and written extensively on financial reporting and corporate governance. I have set strategic policy directions for financial reporting and related issues.

I am well versed in the contemporary issues facing the Board and Audit Committee of today having undertaken a number of recent corporate governance engagements in the private and public sectors. I continue to interact with Boards, and senior management, on such issues as: accounting standards, relationships with auditors, risk management, audit committee mandates, and governance generally. I have written and spoken on corporate governance issues, particularly in the context of the ASX best practice guidelines and the Corporations Act.

I have founded two businesses: a publisher of financial reporting products (Accountnet Pty. Ltd. in 1991) and GAAP Consulting Services Pty Ltd (2003). These are examples of the business edge to my technical skill set.

I would describe my leadership style as inclusive, positive, decisive, and results orientated with a keen focus on meeting commitments and KPIs. I am a strong believer in best practice, and efficiency with a social obligation perspective. I am firmly committed to excellence in financial reporting and integrity in corporate governance. I am committed to Board solidarity, accept the existence of differing viewpoints, and work to a consensus viewpoint that may involve compromise.

I am a member of the Australian Institute of Company Directors.

Recent Corporate Governance Engagements

Review of the appropriateness of key elements of the ATO Corporate Governance framework. This significant and complex series of engagements involved review and reporting on: financial management instructions; internal corporate governance design and reporting; controls over elements of financial management; corporate governance formulation at business units; and elements of internal assurance framework.

Review of audit committees’ charters for statutory authorities in light of contemporary corporate governance developments.

Risk management review of a publication on Best Practice Corporate Governance.

Reviews have been undertaken on the corporate governance structure, strategic planning, fraud framework, risk management framework, and compliance framework

Engagement on transition to Australian equivalents to International Financial Reporting Standards (AIFRS)

Advisory panelist for the establishment of a graduate certificate in corporate governance for Holmesglen TAFE.

Many speaking engagements on corporate governance, CLERP 9 and AIFRS for professional seminar organisations.

 

 

Recent Relevant Experience

Board Involvement

City of DarebinAppointed as an independent member (2005) to the Audit Committee of Darebin City Council, the Council has over $780m in net assets, revenue in excess of $97m, and over 600 employees. My activities have included: review of financial statements, internal audit reports, internal financial reports, and development of the risk management strategy; questioning management, internal and external auditors; audit committee self-assessment; and reappointment of internal auditors. The Audit Committee meets 4 times annually.  In 2008, I was reappointed for a further two years

AASBAppointed as a member (2004) of the Australian Accounting Standards Board by the Commonwealth Government. My activities have included: contribution to the development of vision, mission statement and business plan; deliberations on accounting standards and interpretations; Board self-assessment; and subcommittee member on three projects. The AASB meets 10 times annually.

Since 2003 appointed the resident Australian director of three small joint ventures companies of Fosters Ltd and Lion Nathan Ltd, responsibilities include statutory compliance.

Undertaken several risk management assignments with RSM Bird Cameron on strategic, fraud, and risk management (AS 4360) for government departments and statutory authorities.

Chairman of the Audit Advisory Committee to The Institute of Chartered Accountants in Australia (2002-2005) with responsibilities including agenda setting, succession planning, liaison with the Board, and performance review.

Director and shareholder in two private companies, Risk Management and Assurance Services Pty Ltd (2003) and Accountnet Pty Ltd (since 1991).

Director of ASCPA Superannuation Fund Pty Ltd (1996-2000) responsibilities included, investment decision making, outsourcing evaluation, and member reporting.

Board adviser Stockford Ltd (2000-2003) and CPA Australia (1990-2000) on financial reporting and strategic policy issues.

Adviser to a statutory authority on financial reporting issues under an internal audit mandate.

Briefing Boards of listed companies on contemporary corporate governance issues.
